Makerere University on Friday launched one of Uganda’s first major works on Insolvency Law.
Titled “Mugabe on Insolvency Law”, the book covers general principles of insolvency law, bankruptcy, corporate rescue mechanisms, liquidation, and cross-border insolvency, among others.
This edition examines the latest case law from Uganda and other common law jurisdictions (notably the UK), as statutory and other developments related to insolvency law in Uganda.
It also examines the Insolvency (Amendment) Act, 2022, and the companies (Amendment) Act, 2022.
The writer, Deus Mugabe practices law with Shonubi, Musoke & Co (a leading corporate & commercial law firm in Uganda-Affiliated with Norton Rose Fulbright) as the Head of Tax.
He holds an LLM in Tax Law (with Distinction) from Queen Mary University of London, United Kingdom.
Speaking at the launch, Dr. Zahara Nampewo, the executive director of the Human Rights and Peace Centre at Makerere University School of Law, said: “This is a big occasion for us at the Makerere Law School.”
“The book launch that we are celebrating today, complements Makerere’s 2030 strategic plan. This book marks the beginning of a journey towards building a transformed society.”
She went on: “The book we are launching today is a success of Makerere, Mr. Deus Mugabe, Makerere Law School, and Uganda at large. It illustrates the great potential of the wide-reaching alumni of Makerere University.”
Prof. David J. Bakibinga who wrote the forward to First Edition said “Mugabe on Insolvency Law in Uganda” is the first major work on insolvency law since the passage of the Insolvency Act, in 2011 of Uganda.
“I commend the author for taking the initiative to write this book which will benefit legal practitioners, the judiciary and students offering the course in Ugandan universities and at the Law Development Centre,” said Prof Bakibinga, an advocate, author and Professor of Commercial Law.
“Apart from that consideration, in chapter one of my book, Company Law in East Africa (2022), I foresaw the need for a distinct text on insolvency law separate from those on company law, which traditionally also covered company liquidation.”
He said as is evident from this work, corporate liquidation is a major topic in insolvency law and should be divorced from core principles of company law, in line with the Uganda Companies Act, 2012 which is modeled on the New Zealand legislation.
This text is detailed in examining and analyzing relevant provisions of the Insolvency Act, 2011 and judicial cases including, bankruptcy, rescue: covering company arrangements and amalgamation, administration and receivership, noted Prof Bakibinga.
“This is interspersed with an appropriate comparison with trends in other jurisdictions. The author is a dedicated and thorough scholar and legal practitioner whom I have known since his law undergraduate student days at the Makerere University School of Law.
